Any legal action or proceeding between TezSeo and you concerning this Agreement or the parties' obligations will be brought exclusively in a federal or state court of competent jurisdiction in the United States of America. Any claim or cause of action related to the Service must be initiated within one year after it arises, or the claim will be barred. TezSeo's failure to enforce any provision of this Agreement shall not be considered a waiver of that provision or right. This Agreement may not be modified by the parties' course of conduct or trade practice. TezSeo may assign its rights and duties under this Agreement to any party at any time without notice to you.
